Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.
These Terms of Service are governed by and construed in accordance with the laws of Florida. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
THIS PET ADOPTION AGREEMENT (“Agreement”) is entered into by and between Adopter and Pink Paws LLC, a Florida limited liability company (“Pink Paws”) (collectively, the “Parties”, individually as a “Party”).
Pink Paws and Adaptor enter into this Agreement as a formal memorialization of the arrangement between the Parties;
Pink Paws is the owner of the Pet and through substantial care, responsibility, and commitment. Pink Paws has raised, nurtured, and maintained the Pet and cares for its continued welfare; and
Adopter desires to adopt the Pet and provide a permanent home, wherein Adopter promises to provide the necessary love, support, and responsibility to the Pet.
1. Eligibility:
YOU MUST BE AT LEAST 18 YEARS AGE TO ACCESS AND USE ANY PORTIONS OF THE SERVICE. IF YOU ARE ABOVE THE AGE OF 13, BUT BELOW THE LEGAL AGE MAJORITY, THIS SERVICE MAY ONLY BE USED WITH PARENTAL CONSENT AND SUPERVISION. IF YOU ARE 13 YEARS OR YOUNGER, DO NOT USE THIS SERVICE FOR ANY PURPOSE AS IT IS NOT INTENDED FOR USE BY CHILDREN.
2. Holding Fee: Adopter agrees to pay a non-refundable and non-transferable holding fee of three-hundred dollars ($300) per Pet, wherein Pink Paws agrees to hold a particular animal for Adopter for a period of 14 days. This Holding Fee will be applied to the Adoption Fee.
3. Adoption Fee: The Adopter shall pay a non-refundable Adoption Fee contemporaneous with this Agreement. This Adoption Fee is non-refundable outside of the Limited Guarantee in this Agreement. The Adopter shall pay the Adoption Fee before Pet is delivered to Adopter. If shipping is required, the cost of the shipping will be the responsibility of Adopter and will be separate and in addition to the Adoption Fee.
4. Transfer of Ownership: Upon receipt of the Adoption Fee and the Effective Date, Pink Paws transfers conditional ownership of Pet to the Adopter so long as the conditions of this Agreement are met, described in the Adopter’s Duty of Care, No Resale, and Ethical Treatment of Pet sections below. Pink Paws reserves the right to cancel or refuse the sale of Pet at any time before the delivery or pick up.
5. Adopter’s Duty of Care: Adopter shall care for Pet humanely. Adopter shall be responsible for ensuring Pet is in good care and receives appropriate veterinarian care. Adopter shall provide the pet with the necessary vaccination as required State and Federal Law outside of whatever Pink Paws provides. Adopter agrees to take Pet to a veterinarian for examinations and care as needed. Adaptor assumes all responsibility for the kitten, the kitten’s health and any bills associated with the kittens purchased once the kitten leaves Pink Paws cattery from the moment the kitten has been given to airlines or a driver. Pink Paws reserves the right to assume and reinstate ownership if there are reports that Pet is being abused, mistreated, or malnourished.
6. Limited Guarantee: Pink Paws guarantees that Pet has been inspected by a licensed veterinarian and that the licensed veterinarian has deemed Pet healthy and that the Pet not suffered from any issues or health conditions nor currently shows signs of any issues or health condition. Pet will be registered with The International Cat Association (“TICA”) or an analogous certifying association and will be appropriately vaccinated according to its age.
Pet is guaranteed for 30 days after leaving Pink Paw’s care against any preventable illnesses or conditions. In the event of any health issues preventable illnesses within this 30-days period, the Adopter is required to take Pet to a licensed veterinarian, or this guarantee will be null and void. If the licensed veterinarian determines that
Pet is in poor health due to any unforeseen illnesses or disabilities genetic defects or preventable disease, as evidenced by the provision of a veterinarian report, Adopter may exercise the option of:
(a) keeping Pet and assuming the financial responsibility of its care,
(b) returning Pet to Pink Paws for 50% of the purchase price, or
(c) exchanging Pet for another animal in the care of Pink Paws.
If Adopter does not exercise this Limited Guarantee 30-day period, later claims regarding the health or condition of Pet are waived and will not be considered. If Pet becomes ill due to violations of this Agreement, like allowing Pet to go outside or interact with other animals, this Limited Guarantee does not apply.
The Adaptor has 3 business days, excluding weekends and holidays, in which to have the Pet examined by a licensed veterinarian that you choose. If the veterinarian certifies that at the time of sale, the kitten was unfit for purchase due to a congenital or hereditary disorder, the Adaptor has the right to return the animal and receive a refund of the purchase price, including sales tax, but excluding the veterinary costs related to the certification that the cat is unfit for sale and the delivery costs. This warranty does not apply to any cosmetic genetic abnormalities that do not affect lifestyle. The Adaptor must notify Pink Paws within 3 business days of the veterinarian’s determination that the animal was unfit, or the Adaptor loses the right to return the kitten.
If the kitten is found to have any parasite, Adaptor understands that parasites are common in kittens and considered a kitten maintenance condition. Pink Paws does not cover any parasite treatments. Parasites are simple to treat by oral deworming treatments. Please ask your vet for instructions.
Pink Paws DO NOT cover any bills from vet hospitals, vet clinics even in any case of emergency. The kitten’s health is the sole responsibility of Adaptors.
7. No Resale: In no event will the Adopter sell, rent, lease, or give away Pet without the written permission of Pink Paws.
8. Permissible Location: If Adopter is renting an apartment or house, it is Adopter’s responsibility to receive written permission from their rental agent or property owner before accepting care of Pet. Pet will live indoors and not roam freely outside. Pink Paws will not return any payments made if Adopter did not receive permission before adopting Pet.
9. Ethical Treatment of Pet: Adopter shall not use the Pet for breeding within six (6) months of this Agreement. In addition, Adopter agrees to not declaw Pet nor subject Pet to vivisection or any other experimental purpose.
We encourage buyers to spay or neuter their kittens as early as possible. This kitten is being sold as a companion animal and not for commercial breeding purposes unless you purchased kitten pedigree. Pink Paws reserves the right to withhold the kitten’s registration paperwork or a breeding slip until the buyer presents a vet’s letter stating that the kitten underwent spay/neuter surgery. The buyer has no rights to breed the kitten if the kitten wasn’t purchased with breeding rights.
10. Proper Identification: Adopter agrees to place proper identification on Pet at all times. If Pet goes missing, Adopter agrees to immediately begin searching for Pet and report its absence to local animal shelters and post advertisements.
11. Right to Return: If Adopter fails to fulfill any obligation under this Agreement, Pink Paws reserves the right to demand the return of Pet. In this situation, Adopter agrees to safely, humanely, and immediately return Pet to Pink Paws.
12. Release of Liability: Adopter assumes full responsibility for the care, health, and well-being of Pet upon Transfer of Ownership. Pink Paws makes no warranties, express or implied, regarding the health, temperament, or future behavior of the pet. By signing this Agreement, Adopter releases Pink Paws from any and all liability, claims, or damages, whether known or unknown, arising from or related to Pet, including but not limited to health conditions, behavioral issues, injuries, or damages caused by Pet, from the date of Transfer of Ownership onward.
13. Remedie: Adopter expressly understands and agrees that the duties imposed in this Agreement are special, unique, and of an extraordinary character. In the event of any default, breach, or threatened breach, Pink Paws will be entitled to such relief as may be available to it, at law or in equity, including, without limitation, any proceedings to: (i) obtain damages for any breach of this Agreement, (ii) order the specific performance thereof, (iii) enjoin the breach of such provisions, or (iv) an order requiring the surrender of any Pet in violation of this Agreement.
14. Damages: Adopter acknowledges that in the event of an actual or threatened breach, Pink Paws will be irreparably harmed and the full extent of injury resulting therefrom will be impossible to calculate. Thus, Pink Paws will not have an adequate remedy at law. As such, if the Adopter breaches or threatens to breach any of the provisions of this Agreement, Pink Paws shall be entitled, without prejudice, to all the rights and remedies available to it, including specific performance or an injunction (without any bond or other security) restraining any breach of the provisions of this Agreement by the Adopter. Such remedies shall not be deemed to be the exclusive remedies for a breach of this Agreement, but shall be in addition to all other remedies available at law or in equity to Pink Paws.
15. Non-Disparagement: Adopter shall not at any time make, publish, or communicate to any person or entity or in any public forum any defamatory or disparaging remarks, comments, or statement concerning the other Party or its business, or any of its employees, consultants, officers, and existing or prospective customers, suppliers, investors, and other associated third parties (the “Protected Group”), or make any maliciously false statements about the Protected Group.
16. Prohibition of Tarnishing Trademark Uses: Adopter shall not engage in activities that will tarnish Pink Paw’s brands, image, or reputation.
17. No Waiver: No failure or delay by either party in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege.
18. Non-Circumvention: Adopter hereby covenants and agrees that Adopter will not, by amendment of its certificate of incorporation, bylaws or through any reorganization, transfer of assets, consolidation, merger, scheme of arrangement, dissolution, issue or sale of securities, or any other action, avoid or seek to avoid the observance or performance of any of the terms of this Agreement, and will at all times in good faith carry out all the provisions of this Agreement and take all action as may be reasonably required to protect the rights of Pink Paws.
19. No Assignment; Amendment: Adopter shall not have the right to assign, delegate, or otherwise transfer this Agreement or any rights or obligations hereunder to any other party without prior written consent of Pink Paws. All modifications of, and amendments to, this agreement must be contained in writing signed by an authorized officer of Pink Paws and Adopter.
20. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts of law principles.
21. Counterparts: This Agreement may be signed in counterparts with the same effect as if both parties had signed one and the same document.
22. Severability: If any provision of this Agreement is held to be invalid or unenforceable for any reason, such provision shall be conformed to prevailing law rather than voided, if possible, with a view to achieving the stated intent of the parties and, in any event, the remaining provisions of this Agreement shall remain in full force and effect and shall be binding upon the parties hereto.
23. Authorization: The parties represent and warrant that this
Agreement has been duly and validly authorized, executed and delivered, and is a valid and binding agreement enforceable against it in accordance with its terms. Adopter acknowledges and agrees that this Agreement shall inure to the benefit of and be enforceable by Pink Paw. The foregoing agreements are not in lieu, or exclusive, of any other obligations and duties that Adopter may have to Pink Paws whether express or implied in fact or in law, with respect to the subject matter of this Agreement.
